Terms of Service

1. Acceptance of Terms

By accessing or using Nexus Connect, part of the InSynapse Nexus platform (“Service”) operated by InSynapse Technologies Private Limited (“InSynapse”, “we”, “us”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

Nexus Connect is a unified communication platform for managing WhatsApp Business, Instagram, Facebook, and related messaging channels, including but not limited to:

  • Sending and receiving WhatsApp messages
  • Managing message templates and campaigns
  • AI-powered conversational agents
  • Workflow automations and WhatsApp Flows
  • Contact management with consent tracking
  • Analytics and quality assurance reporting
  • Payment link generation and commerce features

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must be at least 18 years old and authorized to act on behalf of the business you register.

4. WhatsApp Business Platform Compliance

By using our Service, you agree to comply with Meta's WhatsApp Business Policy, WhatsApp Commerce Policy, and all applicable Meta platform terms. This includes but is not limited to:

  • Obtaining explicit opt-in consent before messaging any contact
  • Using only approved message templates for outbound messages outside the 24-hour service window
  • Not sending prohibited content (spam, adult content, illegal goods, etc.)
  • Maintaining message quality standards to preserve phone number quality ratings
  • Using AI chatbots only for task-specific purposes (support, booking, order tracking, etc.) in compliance with Meta's policies

Violation of Meta's policies may result in restriction or termination of your WhatsApp Business Account by Meta, for which InSynapse bears no responsibility.

5. Subscription and Billing

The Service is offered under tiered subscription plans (Free, Starter, Professional, Enterprise) with defined usage limits. Subscription fees are billed monthly or annually via Razorpay. Usage exceeding plan limits incurs overage charges deducted from your prepaid wallet balance. Detailed pricing is available on the Billing page within your dashboard.

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial periods.

6. Data Ownership

You retain ownership of all data you upload or generate through the Service, including messages, contacts, templates, knowledge bases, and campaign data. InSynapse does not claim ownership of your content. We process your data solely to provide the Service as described in our Privacy Policy.

7. AI-Powered Features

The Service includes AI-powered features (conversational agents, QA evaluation, message routing) that use third-party AI models. AI-generated responses are provided on a best-effort basis and may not always be accurate. You are responsible for reviewing and configuring AI agent behavior, knowledge bases, and system prompts to ensure accuracy and compliance with your business requirements.

8. Prohibited Uses

You agree not to:

  • Use the Service to send unsolicited messages (spam) or violate anti-spam laws
  • Attempt to reverse-engineer, decompile, or disassemble the Service
  • Use the Service to transmit malware, phishing, or fraudulent content
  • Exceed rate limits or abuse the API in ways that degrade service for other users
  • Resell or sublicense the Service without written authorization
  • Use the Service for any purpose that violates applicable laws or regulations

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service depends on third-party infrastructure (Meta WhatsApp API, Google Cloud, Vercel) which may experience outages beyond our control. We are not liable for damages resulting from service interruptions.

10. Limitation of Liability

To the maximum extent permitted by law, InSynapse shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

11. Termination

We may suspend or terminate your account if you violate these Terms, Meta's policies, or applicable laws. Upon termination, you may request export of your data within 30 days, after which it will be deleted in accordance with our retention policy.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.
